Sophicor — Terms of Service
These Terms of Service ("Terms") are a contract between you and your firm ("you," "Customer") and Sophicor ("Sophicor," "we," "us"). By accessing or using the Sophicor website or software (the "Service"), you agree to these Terms. If you are agreeing on behalf of a firm, you represent that you have authority to bind that firm.
1. The Service
Sophicor provides private-cloud tax-automation software. Sophia AI extracts data from tax documents you provide; a licensed professional at your firm reviews and verifies that data; and verified data can be moved into your tax software. The Service is designed to run inside your firm's own Google Workspace / cloud environment.
Human verification is required. The Service is a tool that assists your professionals. It does not prepare, sign, or file tax returns on its own, and it is not a substitute for professional judgment. Your firm is responsible for reviewing and verifying all output before relying on it.
2. Beta features
Parts of the Service, including Sophia's document extraction, are provided in beta. Beta features are made available "as is," may change or be discontinued, may contain errors, and should be used with additional care and human review. We welcome your feedback.
3. Your accounts
You are responsible for keeping account credentials secure, for enabling available security features such as multi-factor authentication, and for all activity under your accounts. Notify us promptly at support@sophicor.com of any unauthorized use.
4. Your data and your responsibilities
- Ownership. As between you and Sophicor, you and your clients own your data. Sophicor claims no ownership of your firm's or your clients' data.
- Where it lives. Client/taxpayer documents and extracted data remain in your firm's own environment. Sophicor does not sell your data and does not use your clients' data to train AI models.
- Professional and legal responsibility. You are responsible for complying with the laws and professional standards that apply to your firm, including IRC §7216 and its regulations (disclosure and use of tax return information), Treasury Circular 230, the FTC Safeguards Rule, and applicable state law — including obtaining any client consents required before information is disclosed or used. Sophicor is a tool that supports your compliance; it does not assume your professional obligations.
- Accuracy of inputs. You are responsible for the documents and information you put into the Service and for verifying all output.
5. Acceptable use
You agree not to: use the Service unlawfully; upload malware; attempt to breach or test our security without authorization; reverse engineer or copy the Service except as permitted by law; resell or provide the Service to third parties without our agreement; or use the Service to violate anyone's rights.
6. Fees
Fees, if any, are as agreed in your order or on our pricing page. Sophicor uses flat, firm-wide pricing — no per-return billing and no per-seat fees, except as expressly agreed. Unless stated otherwise, fees are non-refundable except as required by law.
7. Intellectual property
The Service — including its software, the Sophia AI models and methods, its architecture and design, and the "Sophicor" and "Sophia" names and marks — is and remains the exclusive intellectual property of Sophicor, protected by copyright, trademark, trade-secret, and other laws.
Deployment in your environment does not transfer ownership. Sophicor's software runs inside your firm's own Google Workspace / cloud environment. The fact that it operates within your environment does not give you any ownership of, or rights in, the software itself. The code, models, logic, and methods that run inside your Workspace remain Sophicor's intellectual property, and you receive only a limited, non-exclusive, non-transferable, revocable license to use them during your subscription and subject to these Terms. You may not copy, modify, reverse engineer, decompile, extract, resell, or create derivative works from the software, except to the extent the law expressly permits.
For clarity, this does not affect ownership of your data: you and your clients continue to own your firm's and your clients' data, and Sophicor claims no ownership of it (see Section 4). In short — the data in your Workspace is yours; the software running on it is Sophicor's.
8. Confidentiality
Each party will protect the other's non-public information and use it only to provide or use the Service.
9. Disclaimers
Except as expressly stated, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Sophicor does not warrant that the Service will be uninterrupted or error-free, and — given the beta nature of some features — does not warrant that AI-extracted data will be complete or accurate. Your professionals must verify all output. Sophicor is not a law firm, accounting firm, or your tax advisor, and nothing in the Service is professional advice.
10. Limitation of liability
To the maximum extent permitted by law, Sophicor will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Sophicor's total liability arising out of or relating to the Service will not exceed the greater of the amount you paid Sophicor in the twelve (12) months before the claim, or US $100.
11. Indemnification
You will defend and indemnify Sophicor against claims arising from your data, your use of the Service, or your violation of these Terms or of law or professional standards applicable to your firm.
12. Term and termination
These Terms apply while you use the Service. Either party may terminate as provided in your order or, if none, on reasonable notice. You may export or delete your data as described in our documentation; because your client data resides in your environment, it remains with you. We may suspend the Service for security, legal, or non-payment reasons.
13. Changes
We may update these Terms as the product and law evolve. We will post the updated Terms with a new effective date, and material changes will be communicated. Continued use after changes means you accept them.
14. Governing law
These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-laws rules. The state and federal courts located in Arizona will have jurisdiction, unless applicable law requires otherwise.
